Are You Playing a Game of Jeopardy with Your Contracts?
Expand your knowledge of the contract clauses that, if you fail to negotiate or fully understand, could result in placing your employer/client - and you - in financial, reputational, legal, and/or operational jeopardy. Accompany us on a deep dive into contract language and drafting as we identify clauses that create risk, such as indemnity, insurance, service level requirements, force majeure, assignment/change of control, limits of liability, and consequential damages. Come prepared to do a little redlining yourself - or even bring clauses for the group to work on (no parties identified please). Before you leave, we'll play our own version of Jeopardy to test your knowledge. Learn to:
 •  Identify contract language that could trap you into incurring unexpected costs and liability
 •  Understand the ways to modify risky language to improve your position
 •  Create your own "redlined" clauses to use in your transactions
CTSM Candidates with 5 or more years of experience may take this session in place of certain five-digit required sessions, with prior approval.

Kelly is a partner with the law firm of Holland & Knight, LLP, and is a member of the Academy of Hospitality Industry Attorneys, Meeting Professionals International, National Association of Credit Management, Professional Convention Management Association, and the State Bar of Texas.

Joan Eisenstodt, principal, Eisenstodt Associates LLC
Joan Eisenstodt founded Eisenstodt Associates, a DC-based meetings consulting company in 1981. Her experience with corporations, hotel companies, associations, and DMOs, includes conducting training in contracts, risk/contingency planning, negotiating hotel and vendor contracts, and serving as a hospitality industry expert witness. Her work and contributions have been recognized by MPI, HSMAI, PCMA, and NSA; as an inductee into the EIC Hall of Leaders, and by PCMA's Foundation and IACC for her contributions to industry education.
